CNB Online Banking Agreement
This Online Banking Agreement ("Agreement") contains the terms and conditions that govern the access to information, accounts, banking, bill payments and other online services. The terms of this Agreement are in addition to those that apply to any account or service you have with us. You should print this Agreement or contact us for a copy. As used in this Agreement, "you" or "your" refers to the person(s) using CNB Online Banking; "we", "us", "our", or "Bank" refers to County National Bank and its affiliates.Terms and Conditions
Your use of the CNB Online Banking service confirms your agreement to be bound by the terms and conditions contained in this Agreement as well as any rules for use of the services. It also acts as your acknowledgment of your receipt and understanding of the disclosures in this Agreement and your agreement allowing all disclosures or other information required under applicable law to be sent electronically.Except as otherwise required by law, rule, or regulation, we may change the terms and conditions of this Agreement from time to time and at any time. When changes are made, we will update this Agreement at the Web site. Changes will be effective when first updated on the Web site unless law, rule, or regulation requires advance notice in which case the change will be effective in accordance with the law, rule, or regulation.
Unless otherwise required by applicable law, we have the right to terminate this Agreement and/or your access to CNB Online Banking service at any time, at our convenience and without cause.
In no event will County National Bank be liable for any direct or indirect, special, incidental, consequential, or punitive damages or lost profits arising in connection with use of our CNB Online Banking service, any interruption in availability of our CNB Online Banking service, delay in operation or transmission, computer virus, loss of data, or otherwise, even if CNB has been advised of the possibility of such damages or loss.
If any of the accounts from which you utilize CNB Online Banking is joint, each of you is jointly and severally obligated under this Agreement. Each owner will have a unique password and acting alone may perform transactions, obtain information, terminate this Agreement, allow one or more other persons to access qualifying accounts if you provide them with your account access identification number and password, or otherwise transact business, take actions or perform under this agreement. We are not required to obtain the consent of, or notify, any other of you. Each of you individually releases us from any liability and agrees not to make any claim or bring any action against us for honoring or allowing any access, actions or transactions where the person performing the access, action or transaction is one of you or is otherwise authorized to access the account. Each of you agrees to indemnify us and hold us harmless from and against any and all liability (including but not limited to reasonable attorney fees) arising from any such claims or actions.
Eligible Accounts
Access to CNB Online Banking requires that you have at least one eligible account that is identified by your Social Security Number. That account and all other existing and future eligible accounts identified with your Social Security Number will be linked together to form your Web banking relationship with us. Eligible accounts include each open and active CNB checking, savings, money market, certificate of deposit, or loan account.Account Access
If we approve your application for the CNB Online Banking service, you may use your personal computer to access your accounts. You must use your Access ID along with your Password to access your accounts. CNB Online Banking service is accessible seven (7) days a week, twenty-four (24) hours a day through your Internet Service Provider. You will need a personal computer and access to the Internet (World Wide Web). You are responsible for the installation, maintenance and operation of any software and your computer. CNB will not be responsible for any errors or failures involving any telephone service, Internet service, software installation or your computer.Types of Transactions
At the present time, you may use the CNB Online Banking service to:- Transfer funds between your checking, savings and loan accounts.
- Review account balance, transaction history and tax information for any of your checking, savings or loan accounts.
- Download your account information to financial management software programs like Quicken® or Microsoft® Money, QuickBooks®, or Microsoft Excel®, if applicable.
- Conduct other transactions permitted by CNB.
- Communicate with CNB using the electronic mail ("E-mail") feature.
Limitation on Number and Amount of Transactions
Subject to the daily withdrawal limitation described below, you may perform as many transactions as you like at a Terminal. Transfers from a money market deposit account or a savings account to another account or to a third parties by preauthorized, automatic, or telephone transfer are limited to six per month or statement cycle with no more than three by check, debit card or similar order to third parties.Stop Payments
You may initiate a stop payment request online only for checks you have written or electronic drafts that are deducted from your account. This service is not available to cancel the payments scheduled through the bill payment service. Online stop payment requests are processed on the same day for requests made by 4:00 p.m. (Eastern Time). Online stop payment requests made after 4:00 p.m. (Eastern Time) will be processed at 9:00 a.m. (Eastern Time) on the business day following the date the stop payment has been requested online. Stop payment requests initiated online shall be binding once processed. A signature is not required. If you need to stop a recurring bill payment or a pending single bill payment, use the "Stop the Payment" option in the "Pending Payments" section under the "My Payment Activity" menu. You may only stop the payment if it is pending or scheduled as a recurring payment. If urgent action is required, we recommend that you contact County National Bank directly by telephone or in person.Documentation
We will provide you monthly statements for your checking accounts. At a minimum, a quarterly statement will be provided for your savings account.Business Days
For purposes of this Agreement, business days are Monday through Friday, excluding Bank holidays.Fees and Charges
You agree to pay any applicable fees and charges for your use of CNB Online Banking service as set forth in the current FEE SCHEDULE. You agree that all such fees and charges will be deducted from the BANK checking account(s) designated on your Enrollment Form. You agree to pay any additional reasonable charges for services you request which are not covered by this Agreement. You are also responsible for telephone and Internet service fees you incur in connection with your use of CNB Online Banking.Posting of Transfers
Transfers initiated through CNB Online Banking before 4:00 p.m. (Eastern Time) on a business day are posted to your account the same day. Transfers completed after 4:00 p.m. (Eastern Time) on a business day, Saturday, Sunday or banking holiday, will be posted on the next business day. CNB Online Banking service identifies transfers based upon the login ID of the user who made the electronic transfer. You agree to communicate with any other persons with authorized access to your accounts concerning any transfers or bill payments from your accounts in order to avoid overdrafts.Overdrafts (Order of Payments, Transfers, and other Withdrawals)
If your account has insufficient funds to perform all electronic fund transfers you have requested for a given business day, then:- Electronic funds transfers involving currency disbursements, like ATM withdrawals, will have priority;
- Electronic fund transfers initiated through CNB Online Banking which would result in an overdraft of your account may, at our discretion, be cancelled;
- In the event the electronic fund transfers initiated through CNB OnLine Bank which would result in an overdraft of your account are not cancelled, overdraft charges may be assessed pursuant to the terms of the deposit agreement for that account.
Financial Institution's Liability
If we do not complete a transfer to or from your account on time or in the correct amount according to our agreement with you, we will be liable for your losses or damages. However, there are some exceptions. We will NOT be liable, for instance:- Your account does not contain sufficient funds to complete the payment or transfer, or the transfer would exceed the credit limit of any account;
- If your equipment or ours is not working properly and you know or have been advised by us about the malfunction before you execute the transaction;
- The payee mishandles or delays a payment sent by the Bank;
- You have not provided the Bank with the correct names or account information for those persons or entities to whom you wish to direct payment;
- Circumstances beyond the Bank's control (such as, but not limited to, fire, flood, interference from an outside force) prevent the proper execution of the transaction and the Bank has taken reasonable precautions to avoid those circumstances.
- There may be other exceptions stated in our agreement with you.
Confidentiality
We will disclose information to third parties about your account or the transfers you make:- Where it is necessary for completing transfers; or
- In order to verify the existence and condition of your account to a third party, such as a credit bureau or merchant; or in order to comply with government agency or court orders; or
- If you give us your written permission; or
- When the disclosure is required by or allowed by law.
Your Liability For Unauthorized Access
You are responsible for all transfers and bill payments you authorize under this Agreement. If you permit other persons to use the CNB Online Banking service or your Access ID, you are responsible for any transactions they authorize or conduct on any of your accounts. You agree not to give account access to any unauthorized individuals. If you believe that someone may attempt to access your account without your consent or has transferred money without your permission, you must call us immediately at (517) 439-4300 or (888) 322-1088; or write to us at County National Bank, P.O. Box 283, Hillsdale, MI 49242. Quickly telephoning us is the best way of reducing your possible losses.Hours of Access
CNB Online Banking service can be accessed seven (7) days a week, twenty-four (24) hours a day. Occasionally due to emergencies or scheduled maintenance, services may not be available. In the event that services may be unavailable for an extended period of time, we will post a message on the home page.Enrollment
The enrollment process can be completed on the CNB Website or at any of our offices. Existing Telebanc customers can gain immediate access to their accounts by completing the First Time User online enrollment form. New users that do not have a Telebanc password can contact a Customer Service Representative or the Electronic Banking Department to obtain the access information. You will have access only to those accounts for which you are authorized.Your Password
For security purposes, you are required to change your password upon your initial login to CNB Online Banking service. You determine what password you will use and the identity of that password. The password must contain no less than six (6) and no more than seventeen (17) characters which are comprised of both upper and lower case alpha and numeric characters. Passwords are case sensitive so be careful when entering upper and lower case characters that you remember how you originally entered the password for the next time you attempt to login. The password is not communicated to us.- You agree that we are authorized to act on instructions received under your password.
- You accept responsibility for the confidentiality and security of your password.
- You agree to change your password regularly.
You MUST create a password that utilizes both upper and lower case alpha and numeric characters for purposes of security. Your password should not be associated with any commonly known personal identification such as social security number, address, date of birth, and names of children. Your password should be memorized rather than written down. You agree not to disclose or otherwise make your Access ID available to anyone not authorized to sign on your accounts. If you authorize anyone to use your Access ID, that authority shall continue until you specifically revoke such authority by notifying the County National Bank. If you fail to maintain the security of these Access IDs and County National Bank suffers a loss, we may terminate your CNB Online Banking access and account services immediately.
IN CASE OF ERRORS OR QUESTIONS ABOUT YOUR ELECTRONIC TRANSFERS - INCLUDING BILL PAYMENTS
Call County National Bank at the telephone number or write to the address appearing at the end of this agreement as soon as you can if you think your periodic statements or receipt is wrong, or if you need information about a transaction listed on the periodic statement or receipt in order to assess an error. CNB must hear from you no later than 60 days after it sent you the FIRST periodic statement on which the problem or error appeared. You must do all of the following:- Give CNB your name and the account number of your account involved (if any).
- Describe the error or the transaction you are not sure about and explain as clearly as you can, why you believe it is an error or why you need more information.
- Give CNB the dollar amount of the suspected error.
CNB will investigate the matter and tell you the results of its investigation within 10 business days after it hears from you and will correct any error promptly. If CNB needs more time, however, it may take up to 45 days to investigate your complaint or question. If CNB decides to do this, it will credit your account within 10 business days for the amount which you think is in error, so that you will have use of the money during the time it takes CNB to complete its investigation. If CNB does not receive your complaint or question in writing within 10 business days, it may not credit your account during its investigation.
RIGHTS TO TERMINATE THIS AGREEMENT
We reserve the right to terminate this Agreement and your access to the Services, in whole or in part, at any time.Your Services may be canceled at any time without prior notice due to insufficient funds in one of your accounts. After cancellation, the Services may be reinstated once sufficient funds are available in your account(s) to cover any fees and other pending transfers or debits. In order to reinstate the Services, you must call (517) 439-4300 or (888) 322-1088. A representative is available between the hours of 8:00 a.m. to 4:30 p.m. (Eastern Time) Monday through Thursday and 8:00 a.m. to 5:00 p.m. (Eastern Time) on Friday.
If you do not access your account(s) via the Services for any three-month period, we reserve the right to disconnect your service.
If you wish to cancel the Service, please call (517) 439-4300 or (888) 322-1088; or send cancellation instructions in writing to County National Bank, P.O. Box 283, Hillsdale, MI 49242 ATTN: Customer Service.
Disclaimer of Warranty and Limitations of Liability
YOU ACKNOWLEDGE THAT THE CNB ONLINE BANKING SERVICE COULD INCLUDE TECHNICAL OR OTHER MISTAKES, INACCURACIES OR TYPOGRAPHICAL ERRORS; AND THAT THE SERVICE MAY BECOME INOPERABLE OR OTHERWISE UNAVAILABLE FOR PERIODS OF TIME. REFERENCES TO THIRD PARTIES, THEIR SERVICES AND PRODUCTS, ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. YOUR USE OF CNB ONLINE BANKING IS AT YOUR OWN DISCRETION AND RISK AND WITH YOUR AGREEMENT THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM SUCH ACTIVITIES. NO ADVICE OR INFORMATION OBTAINED BY YOU FROM CNB, OR THROUGH OR FROM THE SERVICE, SHALL CREATE ANY REPRESENTATION OR WARRANTY BY CNB.CNB ONLINE BANKING IS PROVIDED TO YOU ON AN "AS IS" BASIS, WITHOUT ANY REPRESENTATION OR WARRANTY OF ANY KIND OR NATURE. WITHOUT LIMITING THE FOREGOING, CNB MAKES NO REPRESENTATION, WARRANTY, OR GUARANTY AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, AVAILABILITY, ACCURACY OR COMPLETENESS OF THE PROGRAM, OR THAT THE USE OF THE PROGRAM WILL BE UNINTERRUPTED OR ERROR-FREE OR OPERATE IN COMBINATION WITH ANY OTHER HARDWARE, SOFTWARE, SYSTEMS OR DATA.
ALL OTHER CONDITIONS, REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE, ARE HEREBY DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW BY CNB, ITS LICENSORS AND CONTENT PROVIDERS.
Damages
REGARDLESS OF THE FORM OF ACTION OR THEORY OF RECOVERY, IN NO EVENT SHALL CNB, ITS LICENSORS OR CONTENT PROVIDERS BE LIABLE OR RESPONSIBLE TO YOU IN ASSOCIATION WITH THE CNB ONLINE BANKING SERVICE, OR YOUR USE THEREOF, FOR ANY: (A) INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES, EVEN IF THEY ARE AWARE OF THE POSSIBILITY OF SUCH DAMAGES; (B) LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOST EXPECTANCY, OR BUSINESS INTERRUPTIONS; AND/OR (C) DIRECT DAMAGES IN ANY AMOUNT IN EXCESS OF THE FEES RECEIVED BY CNB IN CONNECTION WITH THE APPLICABLE SERVICE AND/OR TRANSACTION(S). ANY CLAIM RELATED TO THE CNB ONLINE BANKING SERVICE MUST BE INITIATED WITHIN ONE (1) YEAR OF THE DATE YOU KNEW, OR REASONABLY SHOULD HAVE KNOWN, OF THE EXISTENCE OF SUCH CLAIM AGAINST CNB.Copyright and Trademark
The images, text, screens, and web pages appearing on the CNB Online Banking are owned by us, or others, and are protected by copyright laws. You agree not to copy, display, distribute, download, license, sub-license, modify, publish, repost, reproduce, reuse, sell, transmit, create a derivative work from or otherwise use for public or commercial purposes, the information and materials on the Sites, without our express written permission. Unless otherwise noted, all other trademarks, service marks, and logos used on the sites are the trademarks, service marks or logos of Bank, or others as indicated.Governing Law
This Agreement will be governed by and construed in accordance with the laws of the state of Michigan without regard to conflict or choice of laws rules. Any disagreement, issue, claim, or conflict arising out of or in connection with this Agreement will be determined by arbitration and not by a court. Arbitration will be held in Hillsdale, Michigan and will be conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA"). The arbitration will be conducted by a single arbitrator selected by the mutual agreement of the parties or, if the parties cannot agree, by the AAA. The decision of the arbitrator will be final and binding on both parties.Judgment upon the decision of the arbitrator may be entered in any court having jurisdiction in the State of Michigan. This section does not prohibit the right of either party to obtain provisional or ancillary remedies from a court of law in the State of Michigan before, during, or after the arbitration. The party that loses the arbitration shall pay the costs of the arbitration and the legal expenses of the prevailing party, including reasonable attorney fees.
THE UNDERSIGNED AND CNB ACKNOWLEDGE THAT THE RIGHT TO TRIAL BY JURY IS A CONSTITUTIONAL ONE, BUT THAT IT MAY BE WAIVED. EACH PARTY, AFTER CONSULTING OR HAVING HAD THE OPPORTUNITY TO CONSULT WITH COUNSEL OF THEIR CHOICE, KNOWINGLY AND VOLUNTARILY, AND FOR THEIR MUTUAL BENEFIT, WAIVES ANY RIGHT TO TRIAL BY JURY IN THE EVENT OF LITIGATION REGARDING THE PERFORMANCE OR ENFORCEMENT OF, OR IN ANY WAY RELATED TO, THIS AGREEMENT.
Important Information About Procedures for Opening a New Account
Your enrollment in the service may not be fulfilled if we cannot verify your identity or other necessary information at the time of account opening. Federal law requires all financial institutions to obtain, verify and record information that identifies each person who opens a new account to help the government fight the funding of terrorism and money laundering activities.What this means for you.
When you open an account, we will ask for:- Your Name
- Address
- Date of Birth
- And other information that will allow us to identify you
BILL PAYING AGREEMENT/DISCLOSURE
This is your bill paying agreement with County National Bank. You may use County National Bank bill paying service, CNBillpay, to direct County National Bank to make payments from your designated checking account to the Payees you choose in accordance with this agreement. The terms and conditions of this Agreement are in addition to the Account agreements, disclosures and other documents in effect from time to time governing your Account (the Account Rules)."You" or "your" means each person who is authorized to use the service. "Payee" means anyone, including the Financial Institution, you designate and the Financial Institution accepts as a payee.
HOW TO SET UP PAYEES/PAYMENTS
Complete a bill paying enrollment form. IF YOU WANT TO ADD A NEW PAYEE, USE "SET UP ACCOUNTS/PAYEE" ON THE INTERNET OR SPEAK TO A CUSTOMER SERVICE REPRESENTATIVE. You may add a new fixed payment to a Payee, only if the Payee is on your authorized list of payees, and by accessing the Service and entering the appropriate information. Most other additions, deletions, or changes can be made in writing or by using the Service. The Financial Institution reserves the right to refuse the designation of a Payee for any reason. Each Payee accepted by the Financial Institution will be assigned a payee code. You may pay almost any payee you wish. There are several restrictions: 1) The merchant must be located in the United States; 2) Payments may not be remitted to tax authorities or government and collection agencies; 3) Payments may not be remitted to security companies such as Ameritrade for stock purchases or trade taxing authorities and 4) Court directed payments are unauthorized (Alimony, child support, or other legal debts). Don't forget you can use this system to send payments to your son/daughter in college, pay your local orthodontist, credit cards, charitable donations, etc. A merchant is defined as anybody (company or individual) to whom you want to send money.The Financial Institution is not responsible if a Bill Payment can not be made due to incomplete, incorrect, or outdated information provided by you regarding a Payee or if you attempt to pay a Payee that is not on your Authorized Payee list.
ACCESSING THE SERVICE
When you complete your bill paying enrollment form, you will select a User Code and CNBill Pay Password. The password must contain no less than six (6) and no more than ten (10) characters which are comprised of both upper and lower case alpha and numeric characters. The Financial Institution will send an Approval Response within 72 hours to the email address provided at the time of enrollment. You may access the service after you have received your Approval Response.THE BILL PAYING PROCESS
Single Payments
A single payment will be processed on the business day (generally Monday through Friday, except certain holidays) that you designate as the payment's process date, provided the payment is submitted prior to the daily cut-off time on that date. The daily cut-off time, which is controlled by the financial institution, is currently 3:00 p.m. (Eastern Time). A single payment submitted after the cut-off time on the designated process date will be processed on the following business day. If you designate a non-business date (generally weekends and certain holidays) as the payment's process date, the payment will be processed on the first business day following the designated process date.Recurring Payments
When a recurring payment is processed, it is automatically rescheduled by the system. Based upon your selected frequency settings for the payment, a process date is calculated for the next occurrence of the payment. If the calculated process date is a non-business date (generally weekends and certain holidays), it is adjusted based upon the following rules:- If the recurring payment's "Pay Backward" option is selected, the process date for the new occurrence of the payment is adjusted to the first business date prior to the calculated process date.
- If the recurring payment's "Pay Backward" option is not selected (or if the "Pay Backward" option is not available), the process date for the new occurrence of the payment is adjusted to the first business date after the calculated process date.
For Single and Recurring Payments, YOU MUST ALLOW AT LEAST FIVE (5) BUSINESS DAYS, PRIOR TO THE DUE DATE, for each bill payment to reach the Payee. (For mid west subscribers, allow 7 days and for west coast subscribers, allow 8 days.) Any bill payment can be changed or canceled, provided you access the Bill Pay Service prior to the cut-off time on the business day prior to the business day the bill payment is going to be initiated.
You agree to have available and collected funds on deposit in the account you designate in amounts sufficient to pay for all bill payments requested, as well as, any other payment obligations you have to the Financial Institution. The Financial Institution reserves the right, without liability, to reject or reverse a bill payment if you fail to comply with this requirement or any other terms of this agreement. If you do not have sufficient funds in the Account and the Financial Institution has not exercised its right to reverse or reject a bill payment, you agree to pay for such payment obligations on demand, including any applicable overdraft charges. You further agree the Financial Institution, at its option, may charge any of your accounts with the Financial Institution to cover such payment obligations. The financial institution reserves the right to change the cut-off time. You will receive notice if it changes.
LIABILITY
You are solely responsible for controlling the safekeeping of and access to, your CNBill Pay Password. You are liable for all transactions you make or that you authorize another person to make even if that person exceeds his or her authority. If you want to terminate another person's authority, you must notify the Financial Institution and arrange to change your CNBill Pay Password. You will be responsible for any Bill Payment request you make that contains an error or is a duplicate of another Bill Payment. The Financial Institution is not responsible for a Bill Payment that is not made if you did not properly follow the instructions for making a Bill Payment. The Financial Institution is not liable for any failure to make a Bill Payment if you fail to promptly notify the Financial Institution after you learn that you have not received credit from a Payee for a Bill Payment. The Financial Institution is not responsible for your acts or omissions or those of any other person, including, without limitation, any transmission or communications facility, and no such party shall be deemed to be the Financial Institution's agent. In any event, the Financial Institution will not be liable for any special, consequential, incidental, or punitive losses, damages, or expenses in connection with this Agreement or the Service, even if the Financial Institution has knowledge of the possibility of them. The Financial Institution is not liable for any act, failure to act or delay in acting if it is caused, in whole or in part, by any cause beyond the Financial Institution's reasonable control.Amendment and Termination
The Financial Institution has the right to change this Agreement at any time by notice mailed to you at the last address shown for the Account on the Financial Institution's records, by posting notice in offices of the Financial Institution, or as otherwise permitted by law.The Financial Institution has the right to terminate this Agreement at any time. You may terminate this Agreement by written notice to the Financial Institution. The Financial Institution is not responsible for any fixed payment made before the Financial Institution has a reasonable opportunity to act on your termination notice. You remain obligated for any payments made by the Financial Institution on your behalf.
Fees for Customer requested Services and Other Items
These charges will only be assessed if you request one or more of the services listed here. There will be NO Charge for any item if needed to correct a Financial Institution error.
